Welcome to the software products and services provided by Hangzhou GenTel Future Technology Co., Ltd. ("GenTel", "we", or "us") (collectively, the "Software" or "Services"). This User Agreement (the "Agreement") is intended to clarify the rights, obligations, and responsibilities between you and us in connection with your use of the Software. Please read this Agreement carefully before using the Software to ensure that you fully understand and agree to all of its terms. By starting to use the Software, you acknowledge that you have read, understood, and agreed to be bound by all terms and conditions of this Agreement. If you do not agree to this Agreement, you may choose not to use the Software.

Please understand that we may, at our sole discretion based on product, service, or operational needs, assign certain services under this Agreement to our affiliates or third parties to provide or operate. By agreeing to receive such services, you are deemed to accept that the rights and obligations between you and such affiliates or third parties are also governed by this Agreement. Violation of the above terms may result in legal action and prosecution under applicable law.

Software Use

You may not interfere with the normal operation of the Software or maliciously inflate usage, abuse service resources, or otherwise affect other users' normal use.

GenTel's obligations with respect to our products and services (if any) are governed solely by the purchase agreements under which those products and services are provided. Nothing on this website shall be construed as modifying or replacing those agreements.

If fees are required to use the Software, we will clearly disclose the fee standards and payment methods in advance. You shall pay the fees in a timely manner as agreed. Otherwise, we reserve the right to suspend or terminate the services provided to you and to pursue your liability for breach of contract.

Intellectual Property, Data Protection, and Privacy Policy

All intellectual property rights in the Software, including but not limited to copyrights, trademarks, and patents, belong to us, including but not limited to software programs, algorithms, and interface designs. You are granted only a license to use the Software. Without our authorization, you may not copy, distribute, transfer, lease, sublicense, or otherwise commercially exploit the Software.

Intellectual property rights in data such as evaluation reports generated through your use of the Software belong to you. However, we may, subject to our Privacy Policy, analyze and aggregate such data to improve our services and enhance product performance.

Trademarks, logos, and service marks displayed on this website are the property of GenTel. You may not use these marks without GenTel's prior written consent.

Our Privacy Policy applies to your use of the website, and its terms are incorporated into these terms by reference. Except where prohibited by law, under no circumstances shall we be liable to you for any indirect, consequential, punitive, incidental, or special damages (including business or operational interruption, replacement costs, loss of goodwill, loss of profits, loss of use, or loss of data). You are solely responsible for adequately protecting and backing up data and devices related to your use of the Software.

Governing Law

The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. If any provision of this Agreement is invalid due to conflict with applicable laws and regulations, such provision shall be reinterpreted and applied, to the extent possible, in a manner that most closely reflects the original intent of the provision without violating the law, and the remaining provisions of this Agreement shall remain in full force and effect.

This Agreement is entered into in Hangzhou, Zhejiang Province, the People's Republic of China. If any dispute arises between you and us, both parties shall first attempt to resolve it through friendly negotiation. If negotiation fails, you agree to submit the dispute to the competent people's court in Hangzhou for litigation.

Miscellaneous

The headings in this Agreement are for convenience of reading only and do not affect the meaning or interpretation of any provision of this Agreement.

You and we are independent parties. Under no circumstances shall this Agreement constitute any express or implied warranty or condition by us to you, nor shall it create any agency, partnership, joint venture, or employment relationship between the parties.

These terms constitute the entire agreement between you and GenTel regarding your access to and use of the website and its content, and supersede all prior oral or written agreements relating to such access and use. If any provision of these terms is held invalid or unenforceable by a court or other authority of competent jurisdiction, such provision shall be limited or deleted to the minimum extent necessary, and replaced by an effective provision that best reflects the intent of this Agreement, so that this Agreement remains in full force and effect. Our failure to insist upon or enforce strict performance of these terms shall not be construed as a waiver of any provision or of our right to enforce these terms, nor shall any course of conduct between GenTel and you or any other party be deemed to modify any provision of these terms. These terms do not confer any rights or remedies upon any third party.

GenTel may amend this Agreement due to changes in laws and regulations, business development, or other reasons. The amended Agreement will be published on the Software platform. If you continue to use the Software after the amendment, you are deemed to have agreed to the amended Agreement.

If you violate any provision of this Agreement, GenTel may terminate this Agreement at any time and suspend or terminate your right to use the Software. Upon termination of this Agreement, you shall immediately stop using the Software. GenTel may delete your account and related data, and you shall delete or destroy the Software and related data as we require.
